Non-Bankruptcy Certificates for Due Diligence
Before you buy a business, invest in one, or sign a major partnership, you verify the other side’s finances. A non-bankruptcy certificate is one of the simplest tools for that — written proof that the company (and, if you want, its owners) has not been through federal bankruptcy.
What it gives you
A non-bankruptcy certificate documents the results of a comprehensive search of federal bankruptcy records — all 50 states, every federal district, voluntary and involuntary filings. If no filing exists under the name searched, the certificate states that plainly, in writing, with a validation reference number. For due diligence, that’s a clean, third-party data point: not the company’s word, not a credit summary — a direct search of the court system.
When to order one
Acquisitions — verifying the target company before you commit capital; Investments — checking the principals behind a private deal; Partnerships and joint ventures — confirming a prospective partner’s solvency; Vendor onboarding — vetting a key supplier or contractor before a long-term agreement; Lending — private or commercial loans where the borrower’s entity needs verification. Many buyers order certificates for both the company and its individual owners. The business certificate covers the entity (searched by legal name and EIN); individual certificates cover the people behind it (searched by name and the last four of their SSN or ID).
What you need to order
For a business: the company’s legal business name and EIN. For an individual: full legal name, any prior or maiden names, and the last four digits of their SSN or government-issued ID. You’ll also provide an email for delivery and a phone number.
How fast is it?
Every certificate is completed within 24 hours — no rush fees, no tiers. When a deal has a deadline, the certificate won’t be the thing holding it up. Each certificate arrives as a PDF with its own validation reference number, so the other side (or their counsel) can verify it.
What it doesn’t cover
The certificate reflects the federal bankruptcy record at the time of the search. It’s not a full financial audit, not a credit report, and not a lien search. Use it as one piece of diligence — the piece that answers, definitively: has this company been through federal bankruptcy?
